NuRAN Wireless Pursues Nasdaq Entry to Fuel Expansion of Rural Connectivity Across Africa

NuRAN Wireless has taken significant steps to strengthen its access to international capital markets as it seeks to accelerate the rollout of telecommunications infrastructure in underserved communities across Africa.
The company announced that it has filed a Form 40 F registration statement with the United States Securities and Exchange Commission as part of its application to list its shares on the Nasdaq Capital Market. At the same time, it has confidentially submitted a preliminary short-form base shelf prospectus to Canadian regulators that could allow it to raise up to C$100 million through future securities offerings.
Together, the filings are expected to provide NuRAN with greater financial flexibility and broader access to investors who are increasingly interested in emerging market infrastructure and impact-driven opportunities. The company believes that enhanced access to capital will support the execution of its ambitious growth plans across the African continent.
If approved, a Nasdaq listing would significantly expand the company’s visibility among United States institutional and retail investors. It would also place NuRAN alongside a larger pool of globally traded companies, potentially improving liquidity and strengthening its ability to attract long-term investment.
The proposed shelf prospectus, once finalised, would create a framework for the company to raise funds more efficiently when opportunities arise. This flexibility is expected to be particularly valuable as NuRAN continues expanding its Network as a Service operations into new markets and increases the pace of network deployments in remote regions.
According to Francis Letourneau, the regulatory filings reflect years of operational progress and confidence in the company’s long-term outlook. He noted that improving access to international funding is essential to advancing NuRAN’s mission of extending connectivity to communities that remain underserved by traditional telecommunications infrastructure.
The company stated that millions of people have already benefited from its rural connectivity initiatives and that stronger financial backing could significantly increase the scale and speed of future deployments. Its broader vision is to bridge the digital divide by delivering affordable mobile coverage to populations that have historically lacked reliable access to communication services.
NuRAN also confirmed that it has resolved all outstanding regulatory matters with the British Columbia Securities Commission and has been restored to good standing as of June 10, 2026. The company reiterated its commitment to maintaining compliance with disclosure obligations as it advances its capital markets strategy.
While the Nasdaq application and financing framework remain subject to regulatory approvals and customary conditions, the announcements mark an important milestone in NuRAN’s evolution from a specialised rural network operator into a company seeking global investment support to expand digital inclusion across Africa.
