Nuvei to Acquire Payoneer in $2.75 Billion Deal to Build End to End Global Payments Platform

Nuvei has announced plans to acquire Payoneer in a transaction valued at approximately US$2.75 billion, a move that significantly expands its presence in the global payments ecosystem and positions the company to offer a broader range of embedded financial services to businesses operating across international markets.
Under the agreement, Nuvei will purchase all outstanding shares of Payoneer at US$7.40 per share in cash. The acquisition represents a major milestone in Nuvei’s strategy to evolve from a payment processing provider into a comprehensive financial infrastructure company capable of supporting the increasingly complex needs of digital commerce.
The combined entity is expected to deliver an integrated suite of services that spans payment acceptance, international fund disbursement, multicurrency account capabilities, card issuing, foreign exchange management, and treasury solutions. By bringing these capabilities under a single platform, the companies aim to simplify how businesses move money and manage financial operations across borders.
The transaction also strengthens Nuvei’s ability to facilitate cross-border commerce through Payoneer’s extensive global banking relationships and payout infrastructure. Businesses using the platform will benefit from faster settlement options and access to payment capabilities across more than 150 markets, enabling them to serve customers and partners more efficiently.
A notable advantage of the acquisition lies in Payoneer’s established regulatory footprint. The company holds authorisations and licences across several major jurisdictions, including approvals related to payment operations in China and cross-border payment activities in India. These regulatory capabilities are expected to support Nuvei’s expansion ambitions and deepen its reach into strategically important markets.
The deal further enhances Nuvei’s readiness for emerging trends reshaping the financial services industry. The combined capabilities are expected to support innovations such as stablecoin transactions, embedded finance solutions, and new forms of AI-enabled commerce, allowing businesses to move funds seamlessly across different payment networks and jurisdictions.
According to Phil Fayer, Chairman and Chief Executive Officer of Nuvei, the acquisition marks a transformative moment in the company’s growth journey. He noted that combining both organisations’ strengths would enable businesses to access a more complete financial ecosystem designed to operate at a global scale.
Payoneer Chief Executive Officer John Caplan described the agreement as an opportunity to extend the value the company delivers to its millions of customers worldwide. He said the partnership would broaden market reach and equip businesses with a more comprehensive set of tools to support international growth.
The proposed acquisition has received approval from the boards of both companies and is expected to close in mid 2027, subject to shareholder consent, regulatory clearances, and the fulfilment of customary transaction conditions. Once completed, the deal is expected to create one of the industry’s most extensive financial infrastructures serving the evolving needs of global digital commerce.
